Part 3: Bylaws

1.0 Association Business and Meetings

1.1 The Annual Meeting of the Association shall be held in August of each year and in concert with the North American Championships.

1.2 The Association's fiscal year shall be a calendar year unless otherwise decided by the Board.

1.3 Notice of Meetings: reasonable notice of the time and place of the Annual Meeting and other meetings of the Board shall be given to each Director and to the Members reasonable notice shall be within one week of a meeting.

1.4 Quorum: At any meeting of the Directors, 40 percent (rounded down to the nearest whole number) of the Directors, whether in person, attending by telephone or similiar equipment or duly represented, and including the President or Vice President, shall constitute a quorum.

1.5 Voting: when a quorum is present, a majority of the votes properly cast by Directors present in person or duly represented shall decide any question.

2.0 Membership, Eligibility and Dues

2.1 Classes of Membership shall be as follows:

a) Sailing Organization Members
b) Individual Members
c) Honorary Lifetime Members

2.2 Sailing Organization Members: Fifty Dollars ($50.00) annual dues to the Association.

2.4 Membership Cards and Decals: Upon receipt of dues, the Association's Secretary/Treasurer shall issue official membership cards and decals which shall bear the year in which they were issued. It is suggested that one of the decals be placed on the port transom of the owner's boat.

2.5 Dues Payment Date: The annual dues for all classes of Member are due in March and become delinquent in May of each year.

2.6 Dues of all classes of membership shall be collected by the Association's Secretary/Treasurer.

2.7 Regional Dues: Regional dues, if any, are optional and shall be collected and retained by the Region.

2.8 Eligibility

2.8.1 A Member shall not be eligible to compete in an Association event until his Association dues and Regional dues, if any, have been paid in accordance with the provisions of these Bylaws.

2.8.2 The Club 420 is designated and is organized to provide for junior sailing. Individual who will be twenty two years old in the year of a championship may not compete in C420 championships.

2.8.3 All Board members must be individual members of the Association.

3.0 Approved Builder (Definition of a Builder)
Moved from the Construction Manual by the Board of Directors on January 22, 2005.

3.1 A Builder is a manufacturer approved by the Club 420 Association. Boats not built by an approved Builder, even though built to the Club 420 Association specifications (Construction Manual) will not be considered a Club 420 or be allowed to compete in Club 420 events.

3.2 Approved Builders shall agree in writing to abide by the letter and spirit of the Association's Constitution, By-Laws, and Class Rules.

3.3 If an approved Builder sells/transfers its molds to another builder, the approved builder must notify the Association's Secretary/Treasurer in writing and the new builder must request in writing to become an approved Builder. The new Builder shall not manufacturer an Club 420s until it has been notified in writing that it has been approved by the Association's Board.

4.0 A Builder seeking Approval.
Moved from the Construction Manual by the Board of Directors on January 22, 2005.

4.1 A builder seeking to become an approved builder shall notify in writing the Association's Secretary/Treasurer of its desire to be a builder of the Club 420.

4.2 The Association Secretary/Treasurer upon receipt of such notification shall distribute such notification to the Association's Board.

4.3 The Association's President shall call a meeting of the Board for the purpose of reviewing the notification within thirty days of receiving such notification.

4.4 If the Board rejects the request, the builder may resubmit another request one year after having been notified I writing of the rejection.

4.5 If the Board approves the request, the builder shall construct a mold in accordance with the Class Rules, Construction Manual and Measurement Diagrams. and construct one boat. The boat must be certified as to conforming to the Class Rules, Construction Manual and Measurement Diagrams by a certified measurer approved by the Association's Board. A member of the Association's Board, appointed by the Association's President, must be present at the time of said measuring.

4.6 Upon receipt of the measurer's certification and the Association's Board member's written report, the Association's President shall call a meeting within thirty days. Following the meeting the Association's Secretary/Treasurer shall notify said builder of the Board's decision.

5.0 Certification by Licensed Builders and Official Sail Numbers. Amended on September 28, 2002.

5.1 The Association's Secretary shall issue to all licensed builders non-removable self-destructing decals which shall be serialized which the builders shall affix to either the aft end of the port tank or inside the face of the transom as visual proof that said boat has been certified by said licensed builder as to conforming to the Club 420 Association's Constitution, By-Laws, Class Rules and Construction Manual.

5.2 The Association's Secretary shall issue to all licensed builders a registration card which the builders will place in their packet of information which goes to the buyer. The buyer shall mail the card to the Association's Secretary and by so doing, shall receive one year's free membership in the Association.

5.3 The Association's Secretary shall issue to all licensed builders official sail numbers.

5.4 Owners of Club 420s purchased prior September 28, 2002 may apply to the Association's Secretary in writing requesting said decal by furnishing a rubbing of the hull number located on the Club 420's transom.

5.5 The Association's Secretary shall maintain a permanent record of the names and addresses of all owners.

6.0 Championship Regattas

6.1 The Association shall be the organizing authority for the annual North American Championship, Mid-Winter Championship, National Championship, and Team Racing Championship and any other regattas the Board deems appropriate. The Board shall seek sites that balance the need to maximize attendance and growth of the Class worldwide.

7.0 Geographical Regions

7.1 It is the intent of the Association to have geographical Regions. The Regions shall be drawn with the US Sailing Association areas and the distribution of Members in mind. The Regions shall be as follows until redrawn at the discretion of the Board:

a) Region 1: Area A except Rhode Island
b) Region 2: Area B plus Rhode Island
c) Region 3: Area C
d) Region 4: Areas D and F
e) Region 5: Areas E and K
f) Region 6: Areas G, J and H
g) Region 7: Canada - East
h) Region 8: Canada - West

8.0 Approved Sailmaker

8.1 The Association's approved sailmaker is North One Design, a division of North Sails.

8.2 Sails built by the approved sailmaker may only be purchased from the Association's approved builders.

9.0 Approved Licensed Builders (Amended of September 28, 2002)

9.1 The Association's approved builders are Vanguard Sailboats of Portsmouth, RI and Johnson Boat Works of White Bear Lake, MN. In August, 1999, Performance Catamarans a division of Catalina Yachts of Santa Ana, CA was approved as a builder and replaced Johnson Boat Works. On September 28, 2002, the Association approved Performance Sailcraft 2000, Inc. of Canada as a builder.

9.2 The Association adopted a policy maintaining a maximum of two licensed builders of Club 420s in the United States and one licensed builder in Canada.

10.0 Use of Sails other than Association Approved Sails.

10.1 To facilitate the transition to a strict one design class, the Association will allow sails built prior to June 1, 1997 to be used in an C420 championship.

10.2 To prevent anyone's thwarting the good intention of this rule, the Class Measurer may at his sole discretion disallow the sails of any owner who violates the spirit of Bylaw 8.1.

11.0 Royalty Fees (Approved by the Board on August 8, 1997)

11.0 Within thirty days of the end of each quarter (March, June, September and December) each approved licensed builder shall submit to the Association's Secretary/Treasurer the number of boats constructed during the prior quarter accompanied by a royalty check of Twenty-Five Dollars, U.S., ($25.00) for each Club 420 constructed during that quarter payable to the Association. Said fund to be held in escrow by the Association

12.0 Web Site

10.1 The Association's Secretary/Treasurer shall maintain a web site, www.club420.org.

13.0 Championship Regattas - Duties and Responsibilities

13.1. The Association's Duties and Responsibilities:

a) The Association's Secretary/Treasurer shall be the liasion between the Association and the host yacht/sailing club.

b) The Association shall publish the Notice of Race (NOR) and shall distribute the NOR's electronically on the Club 420 web site.

c) The Association in conjunction with the host club shall establish a budget which shall include water and snack on the water, lunches following racing on the water, T-shirts, awards, cost of all mailings, incidental race committee expenses and any other expenses and may also include one dinner agreed upon in advance.

d) The Association shall appoint the judges. The majority of the judges shall be US Sailing Certified judges.

e) The Association shall approve the Sailing Instructions (SI's) in advance of the event.

f) The Association shall collect all entry fees including late fees.

g) Purchase the trophies.

h) Scoring for all events will be done using the St. Pete Scorer program.

i) Any boat pre-registered shall not be denied the right to compete.

13.2 The Host Club's Duties and Responsibilities

a) Appoint a chairperson(s) for the event who will be the contact with the Association.

b) Appoint a principle race officer, who should be a Member National Authority (MNA) Certified Race Officer..

c) Provide a list of housing facilities (hotels, motels, or bed and breakfasts) in the immediate area including location, phone number and prices which can be distributed with the NORs and on the web site..

d) Prepare a budget in accordance with 13.1c included an entry fee.

e) The host club will be considered the sponsoring organization, and must be a member of the Club 420 Association.

13.3 The North Americans shall be held in August. It can not be held in conjunction with any other event. For the North American Championships the Association shall be the organizing authority.

13.4 The Nationals shall be held so as not conflict with the North Americans.. Sections 13.1 and 13.2 above may be modified for the Nationals with the approval of the Association's Secretary/Treasurer.. The Association shall be the organizing authority of the Nationals.

13.5 The Mid-Winters may be held anytime from December through March.. Sections 13.1 and 13.2 above may be modified for the Mid-Winters with the approval of the Association's Secretary/Treasurer. The Association shall be the organizing authority of the Mid-Winters.

13.6 The Team Racing Championship shall be held in either July or August. Section 13.1 and 13.2 above may be modified for the Team Racing with the approval of the Association's Secretary/Treasurer. The Association shall be the organizing authority of the Team Racing Championship.

13.7 Other sanctioned events may be held with prior approval of the Association's Secretary. A sanctioned event shall adhere to all of the Association's Constitution, By-Laws, and Class Rules.
